Terms & Conditions
The Arabic version of these documents is the primary and legally prevailing version under the laws of the Kingdom of Saudi Arabia. If this English translation and the Arabic text differ, the Arabic text prevails.
Welcome to the website of Yora Ads, owned and operated by Yora Ads Est. (Unified National Number: 7055496850), Kingdom of Saudi Arabia, licensed for the following activities: user interface and experience design (620104), advertising agencies (731011), and marketing services on behalf of others (731013).
These Terms and Conditions, together with the Privacy Policy and the Cancellation & Refund Policy, are a binding agreement between you (the "User" or "Client") and Yora Ads Est.. By browsing this website, sending a request through it, accepting a quotation or paying the Establishment any amount, you agree to them.
Clause 1: The website, its prices and the agreement
- This website presents our advertising, marketing and interface design services and receives enquiries from prospective clients. No sale or online payment takes place through it.
- The prices and price ranges shown are indicative and are not a binding offer. The final price depends on scope and is agreed in a written quotation, contract or invoice issued by the Establishment.
- Prices shown are the Establishment's fees only and do not include advertising budgets paid to ad platforms, influencer fees, or printing and third-party production costs unless stated explicitly.
- The written quotation or contract, together with these terms, is the entire agreement between the parties, and the quotation or contract prevails where they conflict. Service descriptions and marketing statements on this website are general and create no obligation that the quotation does not state.
Clause 2: Scope, revisions and approval
- The quotation sets the scope of work, the deliverables and the number of revisions included. Any work outside that scope, or revisions beyond the agreed number, is additional work charged separately.
- Delivered work is deemed accepted if the Client sends no written comments within seven days of delivery.
- Delays caused by the Client being late with materials, feedback, approvals or access do not count against the Establishment.
- The Establishment may engage collaborators and service providers to deliver parts of the work, such as photography, printing and production.
Clause 3: Payment and invoices
- Work begins once the payment stated in the quotation or invoice is received. Monthly services are paid in advance at the start of each month.
- All payments are non-refundable, as set out in the Cancellation & Refund Policy.
- If any amount is not paid when due, the Establishment may suspend the service — including pausing campaigns and holding work and deliveries — until it is paid, without any liability for the effects of the suspension.
- Final and source files are delivered only once all fees are paid in full.
- Invoices issued by the Establishment are simplified invoices not subject to VAT, according to the Establishment's regulatory status at the time of issue. Amounts are in Saudi riyals, and invoices are dated in Riyadh time.
Clause 4: Ad accounts and ad budgets
- Ad accounts are opened in the name of the Client's business wherever possible. The Client owns them and grants the Establishment access to manage them for the duration of the service.
- The Client pays advertising budgets directly to the ad platform from its own payment method. The Establishment never receives or holds these budgets.
- Platforms set advertising costs through their own auctions and algorithms and may, under their own rules, sometimes spend more than the daily budget set. The Establishment does not control this and is not liable for it.
- The Establishment is not liable for changes the Client or anyone else makes to the ad accounts, budgets or payment methods, or for the consequences of removing its access.
Clause 5: Third-party platforms
- Our services are delivered on platforms owned and operated by third parties, such as Google, Meta (Facebook and Instagram), Snapchat and TikTok.
- The Establishment is not liable for ad rejections, account restrictions or suspensions, changes to platform policies, algorithms or pricing, or any outage of those platforms. We will tell the Client as soon as we learn of any such event and help resolve it where we can.
Clause 6: The Client's obligations and ad content
- The Client is responsible for the accuracy of the information, offers and prices it asks us to advertise, and for holding the licences its business and products require.
- The Client is responsible for materials it supplies (logos, images, copy, video) and confirms it has the right to use them.
- The Client approves ads before they are published, and approval constitutes acceptance of their content. For our part we follow Saudi advertising regulations, including working only with influencers licensed through the Mawthooq platform on influencer campaigns.
- The Client alone is responsible for any claim, fine or loss arising from its products, its offers, the materials it supplied or its breach of these terms, and will compensate the Establishment for anything it incurs as a result.
Clause 7: Results
We provide our services with professional care and in line with best practice. We do not guarantee a specific number of sales, customers or profit, because results also depend on the product, price, market, customer service and platform policies. Results falling short of expectations are not a breach by the Establishment and are not grounds for any refund.
Clause 8: Limitation of liability
- To the extent permitted by the laws of the Kingdom of Saudi Arabia, the Establishment is not liable for indirect or consequential losses such as lost profit or business interruption.
- In all cases the Establishment's total liability is limited to the fees the Client paid for the service in dispute in the three months before the claim, and excludes advertising budgets paid to platforms.
- The Establishment is not liable for any delay or failure caused by circumstances beyond its control, such as platform or network outages, government decisions or force majeure.
Clause 9: Intellectual property
- Final designs and materials delivered to the Client become the Client's property once all fees are paid in full. Source files are delivered only where the quotation includes them.
- Drafts and unapproved concepts remain the Establishment's property. The Establishment may show work that has been published publicly in its portfolio and on its accounts, unless the Client asks in writing that it not be shown.
- Fonts, images and footage licensed from third parties are used under their licences, and the Client is responsible for any use beyond them.
- The content, design and trademark of this website belong to Yora Ads Est. and may not be copied or used without written permission.
Clause 10: Suspending and ending the service
- The Client may stop the service as set out in the Cancellation & Refund Policy.
- The Establishment may suspend or end the service immediately if the Client breaches these terms, pays late, asks us to advertise a product or content that breaks the law or platform policies, or mistreats our team. No amount paid is refunded in that case.
Clause 11: Communications and updates to these terms
- Messages by email or WhatsApp, sent to the contact details each party has given, count as written communication, including quotations, approvals and notices.
- The Establishment may update these terms and its policies. Each engagement is governed by the version published when its quotation was accepted.
Clause 12: Governing law
These terms are governed by and interpreted under the laws of the Kingdom of Saudi Arabia. The competent judicial authorities in the Kingdom have jurisdiction over any dispute arising from them, after an attempt to resolve it amicably.
